Our Corporate practice comprises of the following:

  • Advising and assisting several resident and non-resident clients in structuring the entities based on various legal, business, regulatory and tax issues; incorporation and setting up of Indian and overseas jurisdictions, drafting charter and by-laws and completing all necessary steps for setting up operations in India.

  • Advising and drafting Founders Agreements, share structuring, promoter’s inter se rights and term sheets/MoUs for business ventures.

  • Filing and advising on the registrations, including under the STPI and SEZ schemes, with the local, state and central authorities including the Labor Department, Sales Tax, Central Excise, Provident Fund, Shops & Establishments Authorities, Environmental Agencies, Registrar of Companies, Director General of Import and Export, and Income Tax Authorities.

  • Obtaining trademarks and copy right registrations and design right registrations from appropriate authorities.

  • Drafting for various companies their Corporate Manuals, Employment, Confidentiality and Non Disclosure Agreements, Vendor/Supplier Agreements, Service Agreements, Franchise, Distribution Agreements, Indemnity Agreements, Consortium, Investment Agreements, Consultancy, Teaming and Marketing Agreements, Security Service Agreements, Employee Stock Options, among others.

  • Advising on corporate governance and management related issues arising in the day-to- day operations of the companies.  

  • Conducting due diligence and furnishing due diligence reports on proposed joint ventures or target companies and assisting the investor, venture partners and directors in taking informed decisions and in negotiating accordingly for entering into Private Placement Agreements, Share Subscribers Agreements, Share Holders Agreements, Share Purchase Agreements, Voting Agreements, Investor Rights Agreements, Registration Rights Agreements and Exit Agreements, among others.

  • Filing Amalgamation Petitions and obtaining Court approvals for merger schemes, where necessary.
